Terms of Service

1. Definitions

In these Terms of Service ("Terms"), the following words have the meanings set out below:

• "Panthero", "we", "us", or "our" refers to Carpathica Authentic Srl, a company registered in Romania (CUI 36090691), with its registered office in Satu Mare, Romania.
• "Platform" means the Panthero Security Operations Center accessible at panthe.ro, including all APIs, dashboards, tools, documentation, and related services.
• "User", "you", or "your" refers to any individual or entity that accesses or uses the Platform, whether through a registered account or through Free Tools.
• "Account" means a registered user account on the Platform, authenticated by email and password plus optional two-factor authentication.
• "Free Tools" means the publicly accessible threat intelligence lookup tools (including IP reputation check and threat check) that do not require an Account.
• "API" means the Panthero programmatic interface through which Users submit threat intelligence requests and receive structured responses.
• "API Key" means the cryptographic credentials (key and secret) issued to an Account for authenticating API requests.
• "Property" means a domain, IP address, server, or other digital asset registered by a User on the Platform for monitoring or protection.
• "Request" means a single API call or Free Tool lookup submitted to the Platform.
• "Threat Data" means the IP reputation scores, risk classifications, geolocation data, and related intelligence returned by the Platform.
• "Aggregated Data" means statistical information derived from Threat Data that has been anonymized so that no individual User, Account, or Property can be identified.
• "Quarterly Report" means a threat intelligence publication (for example, "State of Internet Threats Q1 2026") that Panthero publishes based solely on Aggregated Data.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Platform. If you use the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. The organization becomes the User for the purposes of these Terms.

By accessing or using the Platform - including Free Tools - you confirm that you meet these eligibility requirements and agree to be bound by these Terms in their entirety.

3. Account Registration

To access paid services or the client portal, you must create an Account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your Account information to keep it accurate and complete.
• Keep your password and API credentials confidential. You must not share credentials with any third party.
• Notify us immediately at security@panthe.ro if you suspect unauthorized access to your Account.
• Accept full responsibility for all activity that occurs under your Account, whether or not authorized by you.

We reserve the right to suspend or terminate any Account that contains false or incomplete information, or that we reasonably believe has been compromised.

4. Free Tools

Panthero provides Free Tools that allow anyone to perform IP reputation lookups and threat checks without creating an Account. The following terms apply specifically to Free Tools:

• No Account required. Free Tools are accessible to any visitor of panthe.ro.
• Rate limits apply. Free Tool usage is subject to rate limits that we set and adjust at our sole discretion. We are not obligated to disclose the specific rate limits in advance. If you exceed the applicable rate limit, your requests will be temporarily blocked.
• No service level agreement. Free Tools are provided on an "as-is" and "as-available" basis with no uptime commitment, no support, and no guarantee of accuracy or completeness.
• Data collection. When you use Free Tools, we collect and process the IP address you query, your own IP address, the timestamp of the request, and basic request metadata. See our Privacy Policy for details.
• Acceptable use. Free Tools are subject to our Acceptable Use Policy. Automated scraping, circumventing rate limits, or using Free Tools to conduct attacks or compile competing databases is strictly prohibited.
• Modification or discontinuation. We may modify, restrict, or discontinue Free Tools at any time without prior notice and without liability.

5. Paid Services

Panthero offers the following paid service tiers. All prices are in euros (EUR) and exclude applicable taxes unless stated otherwise.

5.1 Pay-As-You-Go

• Setup fee: EUR 1.00 (one-time, non-refundable).
• Per-request fee: EUR 0.001 per API request.
• Request volume: Unlimited. There is no cap on the number of requests.
• Properties: Unlimited. You may register any number of properties.
• Billing cycle: Usage is metered and invoiced monthly in arrears.
• Support: Email support with a target response time of two business days.

5.2 Enterprise

• Pricing: Custom, negotiated per contract based on volume, integration requirements, and support level.
• SLA: Custom service level agreement included in Enterprise contracts.
• Support: Priority support with dedicated account management, as specified in the Enterprise agreement.
• Terms: Enterprise agreements may contain terms that supplement or override specific provisions of these Terms. In case of conflict, the Enterprise agreement prevails.

5.3 Tier Changes

We may introduce, modify, or discontinue service tiers at any time. Changes to pricing for existing Pay-As-You-Go Users take effect 30 calendar days after we send notice to the email address associated with your Account. Your continued use of the Platform after the effective date constitutes acceptance of the new pricing.

6. Billing and Payment

• Currency: All invoices are issued in EUR.
• Payment terms: Invoices are due within 14 calendar days of the invoice date unless your Enterprise agreement specifies otherwise.
• Payment methods: We accept payment by bank transfer and by card through our payment processor. Details are provided on your invoice.
• Late payment: If payment is not received within 14 days of the due date, we may suspend your Account and API access until the outstanding balance is paid in full. We reserve the right to charge interest on overdue amounts at the maximum rate permitted by Romanian law.
• Taxes: You are responsible for all applicable taxes, duties, and levies imposed by your jurisdiction. We will add Romanian VAT where required by law.
• Refunds: The one-time setup fee is non-refundable. Per-request fees for requests already processed are non-refundable. We do not offer refunds for partial billing periods.
• Disputes: If you believe an invoice is incorrect, you must notify us in writing within 30 calendar days of the invoice date. Undisputed portions remain due per the original terms.

7. API Usage and Rate Limits

• Authentication: All API requests must be authenticated using HMAC-signed credentials issued to your Account. Sharing API keys with third parties is prohibited.
• Rate limits: Paid accounts are subject to per-second and per-minute rate limits that we publish in the API documentation. We may adjust these limits to protect platform stability. If you require higher limits, contact us to discuss an Enterprise agreement.
• Caching: You may cache API responses locally for up to 24 hours to reduce redundant requests. You must not redistribute cached data to third parties.
• Error handling: You must implement appropriate error handling in your integration, including exponential backoff for rate-limit responses (HTTP 429). Implementations that repeatedly ignore rate-limit signals may be temporarily or permanently blocked.
• Versioning: We version the API and will provide at least 90 calendar days of notice before discontinuing a major API version.

8. Acceptable Use

Your use of the Platform - including both Free Tools and paid services - is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violation of the Acceptable Use Policy constitutes a breach of these Terms.

9. Intellectual Property

• Our property: The Platform, its source code, design, documentation, APIs, scoring algorithms, machine learning models, Aggregated Data, Quarterly Reports, and all related intellectual property are and remain the exclusive property of Carpathica Authentic Srl. Nothing in these Terms grants you any ownership rights in the Platform.
• License to use: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal security purposes.
• Restrictions: You must not copy, modify, reverse-engineer, decompile, disassemble, or create derivative works of any part of the Platform, including but not limited to the scoring algorithms. You must not use the Platform to build a competing product or service.
• Your data: You retain ownership of the data you submit to the Platform (such as IP addresses you query). By submitting data, you grant us a non-exclusive, worldwide, royalty-free license to process that data for the purposes described in these Terms and the Privacy Policy, including aggregation and anonymization.
• Feedback: If you provide suggestions, ideas, or feedback about the Platform, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without compensation to you.

10. Data and Privacy

Our collection and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.

If you submit personal data of third parties to the Platform (for example, querying an IP address associated with an identifiable individual), you represent and warrant that you have a lawful basis under applicable data protection law (including GDPR) to submit that data and to authorize us to process it as described in these Terms and the Privacy Policy.

11. Quarterly Reports and Aggregated Data

By using the Platform - whether through Free Tools, Pay-As-You-Go, or Enterprise services - you acknowledge and agree that:

• Panthero collects and processes Threat Data generated by your use of the Platform.
• Panthero aggregates and anonymizes Threat Data from all Users to produce Aggregated Data. The anonymization process is irreversible: no individual User, Account, Property, or queried IP address can be re-identified from Aggregated Data.
• Aggregated Data is not personal data. It is the sole and exclusive property of Carpathica Authentic Srl.
• Panthero publishes Quarterly Reports based on Aggregated Data. These reports contain statistical trends, threat landscape analyses, and industry benchmarks. They never contain information attributable to any specific User.
• Your continued use of the Platform constitutes your consent to the collection, aggregation, anonymization, and publication of data as described in this section.
• You have no right to opt out of aggregation and anonymization, as Aggregated Data does not constitute personal data. You may, however, stop using the Platform at any time.

12. Service Availability and SLA

12.1 Free Tools

Free Tools carry no uptime commitment. We provide them on an "as-is" and "as-available" basis. We may take Free Tools offline for maintenance, capacity management, or any other reason without prior notice.

12.2 Pay-As-You-Go

We target 99.9% monthly uptime for the API, measured as the percentage of minutes in a calendar month during which the API responds to authenticated requests with a non-error status code. Scheduled maintenance windows (announced at least 48 hours in advance) are excluded from the uptime calculation. This is a target, not a guarantee. No credits or compensation are owed if we do not meet this target.

12.3 Enterprise

Enterprise customers receive a custom SLA defined in their Enterprise agreement, which may include uptime guarantees, credit mechanisms, and escalation procedures.

12.4 Force Majeure

Neither party is liable for failures or delays caused by events beyond reasonable control, including but not limited to natural disasters, wars, government actions, pandemics, internet backbone failures, power outages, and distributed denial-of-service attacks directed at infrastructure providers.

13. Disclaimers

To the maximum extent permitted by applicable law:

• The Platform, including Free Tools, is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
• We disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and completeness.
• Threat Data reflects our assessment based on available information at the time of the query. We do not warrant that Threat Data is error-free, complete, or suitable for any specific security decision. You are solely responsible for how you act on Threat Data.
• We do not warrant that the Platform will be uninterrupted, secure, or free of bugs, viruses, or other harmful components.
• We do not warrant that blocking or flagging an IP address based on Threat Data will prevent all malicious activity, nor that a low-risk score guarantees safety.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

• Exclusion of indirect damages. In no event will Panthero be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, loss of business opportunity, or cost of substitute services, regardless of the cause of action or the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.
• Cap on direct damages. Our total aggregate liability for all claims arising out of or related to these Terms or the Platform, regardless of the form of action, is limited to the total fees you actually paid to Panthero during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees (including Free Tool users), our total liability to you is zero (EUR 0.00).
• Essential basis. You acknowledge that the fees charged by Panthero reflect the allocation of risk set forth in this section and that Panthero would not enter into these Terms without these limitations.

15. Indemnification

You agree to defend, indemnify, and hold harmless Panthero, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Platform, including any action you take based on Threat Data.
• Your violation of these Terms or the Acceptable Use Policy.
• Your violation of any applicable law or regulation.
• Any third-party claim that data you submitted to the Platform infringes that third party's rights.

16. Termination

• By you: You may close your Account at any time by contacting us at support@panthe.ro. Closing your Account does not relieve you of the obligation to pay any outstanding invoices.
• By us: We may suspend or terminate your Account immediately and without prior notice if you breach these Terms or the Acceptable Use Policy. We may also terminate your Account with 30 calendar days' written notice for any reason or no reason.
• Effect of termination: Upon termination, your right to access the Platform ceases immediately. We will delete your Account data in accordance with our Privacy Policy and applicable data retention obligations. Aggregated Data derived from your usage prior to termination remains our property and is not affected by termination.
• Survival: Sections 9 (Intellectual Property), 11 (Quarterly Reports), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 17 (Governing Law) survive termination.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of Romania, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably within 30 calendar days of written notice will be submitted to the exclusive jurisdiction of the courts of Satu Mare, Romania.

Notwithstanding the foregoing, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

18. Changes to These Terms

We may update these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes affecting paid services, we will provide at least 30 calendar days' notice by email to the address associated with your Account. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
